BACKGROUND
PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE PURCHASING OR USING THE FREEDOM FILLED® BUSINESS MENTORSHIP PROGRAM by Tracy Harris Co®.
By proceeding with your purchase, you signify your consent to these Terms of Use. If you do not agree, please do not continue with this purchase.
Tracy Harris Co® (ACN 98344992371) provides business mentoring, Instagram strategy services, and educational support products for women in business.
All services and products have been created by award-winning teacher and mentor Tracy Harris with the intention to support entrepreneurial women in building freedom-filled businesses.
This Purchase Agreement (“Agreement”) forms a binding contractual agreement between you (“the Purchaser”) and Tracy Harris Co® (“we”, “our”, “us”).
By proceeding, you confirm you have the legal capacity to enter into this Agreement and agree to be bound by its terms.

ACCEPTANCE OF TERMS
By accessing, downloading, or using the products and services offered, you agree to be bound by these Terms, which you acknowledge you have read and understood.
We may amend these Terms at any time, with updated versions posted on our site. Continued use constitutes acceptance of the revised terms.

SERVICES AND PACKAGES
Freedom Filled® Business Mentorship Program – a 12-month mentorship and implementation program for women who wish to grow courses and memberships that are freedom-filled, rewarding, and sustainable.

COMMITMENT TERM
Enrolment in the Freedom Filled® Business Mentorship Program represents a binding 12-month commitment.
This agreement cannot be paused, deferred, cancelled, transferred, or terminated early for any reason.
You acknowledge and agree that:
• No pro-rata refunds will be issued under any circumstance.
• Payment obligations remain in force for the full 12-month term, even if you choose not to participate in or access materials.
• This policy applies regardless of personal, financial, or business changes during the commitment period.

PRICING AND PAYMENT
Current pricing is as follows:
• Pay-in-Full: $6,000 AUD
• Monthly Payment Plan: 12 monthly payments of $550 AUD (total $6,600 AUD)
All prices include GST for Australian accounts.
All payments are processed securely online via Stripe through our e-commerce platform (SamCart) and CRM (ActiveCampaign).
Payment Default
If a payment fails, you will have 7 days to update payment details. Failure to do so may result in suspension or termination of access.
Outstanding balances may be referred to a debt-recovery agency.
Payment does not transfer ownership of intellectual property or confer any license beyond those stated herein.

REFUNDS
Action-Based Guarantee
We stand behind the Freedom Filled® Business Mentorship Program with an Action-Based Guarantee.
If you fully participate for 12 months, complete all assigned action steps, and do not believe the program provided sufficient value, we will refund 100 % of your investment.
This guarantee is the only exception to our strict no-refund policy.
Outside this circumstance, no refunds, credits, or cancellations will be granted under any reason, including but not limited to change of mind, change in business direction, or financial hardship.

BONUSES AND ADDITIONAL OFFERS
From time to time, Tracy Harris Co® may offer bonuses or inclusions as part of promotional campaigns.
These bonuses are available only for the lifetime of your active membership in the Freedom Filled® Business Mentorship Program.
Once your membership concludes or is terminated, all access to bonuses, resources, and related products is revoked.
Bonuses are non-transferable and may vary by promotion.

PROGRAM DELIVERY AND CHANGES
Tracy Harris Co® reserves the right to make adjustments to the structure, content, or deliverables of the Freedom Filled® Business Mentorship Program at any time to serve the evolving needs of participants and maintain program integrity.
• Deliverables (including call schedules, templates, coaching sessions, and bonuses) are subject to change, addition, or removal at the professional discretion of the Founder and Team.
• Call times and dates may be changed, postponed, or rescheduled without notice or reason. Every effort will be made to provide reasonable notice, but such changes do not constitute a breach of this Agreement.

LICENSE AND ACCESS RESTRICTIONS
Upon enrolment, you are granted a limited, non-exclusive, non-transferable, revocable license to access the Freedom Filled® Business Mentorship content for your personal professional development only.
• Access is granted solely to the enrolled purchaser.
• Logins and materials must not be shared, distributed, or provided to any third party, including clients, staff, contractors, peers, or partners.
• Any unauthorised sharing constitutes a material breach and will result in immediate termination without refund.
Educational Use Only
All templates, examples, frameworks, and business processes shared by Tracy Harris Co® are provided for educational demonstration.
They may not be copied, re-branded, repurposed, or resold as your own intellectual property or included in your own programs or client work.
Termination of Access
Access to all content, resources, and recordings ends upon expiry or termination of your membership.
Re-enrolment is required to regain access.

RIGHT TO TERMINATE
Tracy Harris Co® reserves the right to immediately terminate access, without refund, if:
• You fail to make payments as agreed;
• You breach confidentiality or intellectual-property clauses;
• You engage in conduct deemed harmful to the community or company reputation.
Upon termination, all program access and associated bonuses will be revoked.

INTELLECTUAL PROPERTY AND COPYRIGHT
All materials, recordings, videos, PDFs, templates, designs, and written content provided are the exclusive property of Tracy Harris Co®.
You acknowledge that you do not acquire any ownership rights by accessing or using these materials.
Modification, reproduction, or distribution for commercial purposes without written consent is strictly prohibited.

GENERAL DISCLAIMER
Tracy Harris Co® provides mentorship, strategy, and education. Your results depend on your own effort, business skills, and implementation.
No income or outcome guarantees are made.
Testimonials are illustrative only and do not represent typical results.
You agree that participation is voluntary and that you are solely responsible for your business decisions and outcomes.

FORCE MAJEURE
Tracy Harris Co® shall not be liable for any delay or failure to perform obligations under this Agreement due to circumstances beyond reasonable control, including but not limited to acts of God, illness, pandemic, internet outages, or technical disruptions.

DISPUTE RESOLUTION
If a dispute arises, both parties agree to first seek resolution through good-faith communication and, if necessary, mediation in New South Wales, Australia before initiating legal proceedings.
Each party will bear its own costs of mediation.

LIMITATION OF LIABILITY
To the maximum extent permitted by law, Tracy Harris Co® shall not be liable for any indirect, consequential, incidental, or punitive damages arising from participation in the program or use of its content.

SEVERABILITY
If any clause of this Agreement is found invalid or unenforceable, the remaining clauses will remain in full effect.

ENTIRE AGREEMENT
This document constitutes the entire Agreement between you and Tracy Harris Co® regarding the Freedom Filled® Business Mentorship Program and supersedes all prior discussions, representations, or understandings.

APPLICABLE LAW
These Terms are governed by and construed in accordance with the laws of the State of New South Wales, Australia.
You consent to the exclusive jurisdiction of the courts in NSW for any matter arising under this Agreement.
